What you'll do
This is a transactional brief. You review and annotate the documents a corporate associate lives in: merger agreements, stock purchase agreements, operating agreements, bylaws and financing documents. You draft realistic corporate scenarios, deal hypotheticals and research memos across M&A, governance, securities and entity structuring.
On the review side, you evaluate AI-generated corporate content for accuracy, clarity and consistency with US corporate law and give specific corrections. The ad asks you to flag ambiguity, risk and drafting issues "the way you would in live deal work", which is a fair description: issue-spotting on a markup, with the rationale written out. You also help shape the guidelines and quality standards for the corporate training data, and turn complex principles into structured formats a model can learn from.
Who fits
- A JD from an accredited US law school
- An active licence in good standing in at least one US jurisdiction
- 3 to 10+ years of substantive corporate work: M&A, securities, governance, commercial contracts or private financings
- Hands-on drafting and negotiation of purchase agreements, financing documents and governance instruments
- A US-based practitioner, whether at a firm, in-house or independent
- Preferred extras: buy-side and sell-side M&A, in-house or GC experience at a US company, a clerkship or journal editing, and training junior attorneys
No prior AI experience is required.
What it pays
